Required Qualifications: (Evidenced by an attached resume) Bachelor's Degree. Four  years of full time, directly related administrative experience. Experience reading and correctly interpreting complex regulations, contracts and policies. Highly proficient, professional experience in word processing, spreadsheet management, electronic messaging and internet applications (Microsoft Word, Excel, PowerPoint, Google Apps, etc...).*Due to U.S. Export Control laws and regulations, the candidate hired will need to be a U.S. citizen, lawful permanent resident, or other "protected individual" (as defined by 8 U.S.C. Sec. 1324b(a)(3). Preferred Qualifications: Juris Doctorate degree. Graduate degree in hard science or engineering. Undergraduate degree in hard science or engineering. Experience in commercial law with a focus on contracts, especially technology licensing agreements and related matters. Experience in prosecution of intellectual property and intellectual property strategy, especially early-stage science and engineering based invention. Experience in technology transfer business development. Brief Description of Duties: Identify and develop high potential IP assets building a balanced, high value IP asset portfolio. Assess and mitigate legal and financial risk of contracts. Office of Technology Licensing and Industry Relations (OTLIR) Risk Management: Review Licenses, Options, Inter-Institutional Agmts, and other contracts; assess and mitigate legal and financial risk. Monitor internal processes and work product to develop effective and efficient work flow across the institution, identifying, mitigating, and addressing contracts and processes that expose the institution and OTLIR to risk. Develop and improve contract templates. Work closely with OTLIR licensing staff through contract negotiation process. Draft contract language. Review and monitor OTLIR standard operating procedure for risk. Support and some direct contract negotiation. Intellectual Property Prosecution and Management: Develop strong intellectual property positions that support commercialization of the invention. Identify and develop high potential IP assets, develop strong patent claims on assets, assess IP strategy, minimize prosecution risk, and optimize use of prosecution budget, all focused on building a balanced, high value IP asset portfolio. Work closely with OTLIR licensing staff and outside counsel, managing much of the work. Coordinate patentability assessment, strategy, prosecution, and cost. Supervise Docket Manager's role and tasks. Improve practices. Develop capability. Material Transfer Agreements (MTA) and Confidential Disclosure Agreements (CDA): Execute and administer these agreements as required and according to standard procedures, working with appropriate Office of Sponsored Programs (OSP) and OTLIR staff. May involve some other agreements (e.g. data use). Serve as liaison between faculty and sponsoring partners, campus administrative offices, and the Central Office of the Research Foundation in the pursuit of the above duties. Sponsored Program Contract Support: The focus will be on two specific agreement areas: Scope of Work definition and Intellectual Property terms. Evaluation and risk minimization and management of contract language with a variety of sponsoring entities including federal, state, non-profit and industry sponsors, on behalf of the Research Foundation for the State University of New York (SUNY)/Stony Brook University (SBU). There will be a focus on terms and conditions that protect investigators and SBU while maintaining compliance with federal, State, and SUNY policies and procedures and regulatory compliance requirements.
